The short version
The short version. Your work belongs to you, or, in a Company account, to your company. Try CoordBase free with no card, then pay for a plan at checkout: Apple bills plans bought in the app, and our reseller Paddle bills plans bought on the web, including every company plan. You can cancel anytime, and your plan runs to the end of the year you paid for. CoordBase is a tool to organize your project. It isn’t professional advice. Keep your own backups. New Jersey law applies. This summary is only for convenience. The full Terms below are what count.
01The agreement
These Terms of Service (the “Terms”) are an agreement between you and AJRAX LLC, a New Jersey limited liability company (“AJRAX”, “we”, “us”). They cover the CoordBase app for iPhone and iPad, CoordBase Cloud, CoordBase on the web, Share Links and this website, coordbase.com (together, “CoordBase”).
By creating an account, clicking or tapping a button indicating your acceptance, purchasing a CoordBase plan, or accessing or using CoordBase, you agree to these Terms.
If you purchase or start a Company plan or Company trial on behalf of a company or other organization, you represent that you have authority to accept these Terms on its behalf. The company is then bound by these Terms. Each other person who uses a Company account agrees to these Terms for their own use of CoordBase. For a Company account, the company is our customer, and “you” includes the company and each person using one of its accounts.
If you don’t agree to these Terms, don’t create an account, purchase a plan, access or use CoordBase.
Our Privacy Policy explains how we collect, use and protect personal information. Purchases and refunds are also subject to our Refund Policy, which is part of these Terms.
02Who can use CoordBase
You must be at least 18, or the age of majority where you live, and able to enter into a binding contract. CoordBase is designed for professional and business use in construction and related work. CoordBase is offered only in the United States.
03Your account
- Personal or Company. Each email address can belong to one CoordBase account, either a Personal account or a Company account, never both. A Personal account is yours. A Company account belongs to one company’s workspace. Accounts are never merged or converted, a Personal account can’t become a Company account, and projects never move between them. To use CoordBase both for yourself and for a company, use two email addresses; the two accounts are completely separate.
- You sign in with your email address and a code we email you, so keep your email account secure: anyone who can read your email can get a sign-in code.
- Changing your email. You can change a Personal account’s email after confirming codes sent to your current address and to the new one. It never changes the account type. To free an email address used by a Personal account, change that account’s email or delete the account. A Company account’s email can’t be changed: a Manager invites the new address, and then removes the old account.
- An account belongs to one person. Don’t share it, and give accurate information.
- You’re responsible for keeping your email account and sign-in codes secure and for activity under your account except to the extent caused by AJRAX. Tell us right away if you think someone else is using your account.
- We may suspend an account to protect it, other users or CoordBase, for example if we see signs that it has been compromised.
04Your license
We license CoordBase to you; we don’t sell it. As long as you follow these Terms and have an active plan or trial where one is needed, AJRAX gives you a limited, personal, non-exclusive, non-transferable and revocable license to use CoordBase’s services, including CoordBase Cloud, CoordBase on the web and Share Links. Your license to the iPhone and iPad app itself comes from Apple’s standard licence for App Store apps (see App Store terms below). You may not:
- copy, modify, translate or create derivative works of CoordBase, except as the law allows;
- reverse engineer, decompile or disassemble it, or try to extract its source code, except where the law expressly permits it;
- rent, lease, sell, sublicense or redistribute it;
- remove proprietary notices; or
- get around any feature that controls access to paid features.
05Plans and purchases
- Personal plans. A Personal account can choose the Local plan, which keeps your projects on your devices, or the Cloud plan, which adds CoordBase Cloud. Plans are billed yearly. The price and what each plan includes are shown at checkout or in the App Store before you buy.
- Company plans. A company buys a Cloud seat for each person, including every Manager, on the website, with the company as the paying customer. There’s no Local plan for companies. Each seat adds storage to the company’s shared storage. Buying a company plan, or starting a company trial, creates the company’s workspace, and the buyer’s email becomes its first Manager’s Company account; it can’t be an email already used by another CoordBase account.
- Free trials. A Personal account starts with a free 7-day trial. A company can start a separate free 7-day company trial on the website, for two people, with a small amount of shared storage. Neither needs a card, and neither turns into a paid plan by itself: when it ends, CoordBase stops and asks you to choose a plan. There’s one trial per account and one company trial per company. A trial ends after 7 days even if your device is offline: your files stay open, and new work waits until you choose a plan. A company that buys after its trial carries on with the same accounts, projects and history.
- Where you can buy. Personal plans can be bought in the CoordBase app through Apple’s App Store, or on the web at coordbase.com or in CoordBase on the web. Company plans are sold on the web only. Where Apple’s rules allow it, the iPhone and iPad app may also link to our web checkout.
- Sold in the United States only. CoordBase plans are sold only to customers in the United States. The app is available only on the US App Store, and a web purchase needs a billing address in the United States. If a web purchase is made with a billing address outside the United States, it’s refunded in full, the plan doesn’t start, and we tell you why.
- Paying. Every plan is paid for at checkout. There’s no pay-later or invoice payment.
- Buying on the web. Web orders are processed by our online reseller, Paddle.com, which is the merchant of record for those orders. Paddle’s Buyer Terms govern your transaction with Paddle, and these Terms govern your access to and use of CoordBase. Paddle sends your receipt and invoice after payment.
- Buying in the app. Apple charges your Apple Account when you confirm the purchase, and Apple’s terms govern payment and billing. A Company account never holds an App Store plan.
- Renewal. Plans renew automatically each year until you cancel. For a plan bought in the app, turn off renewal at least 24 hours before the year ends.
- Upgrading a Personal plan to Cloud. On the web, moving from Local to Cloud during your paid year starts Cloud at once. You pay the difference for the rest of the year now, and your renewal date stays the same. In the app, upgrades follow Apple’s rules: Apple upgrades you at once and refunds the unused part of your Local plan, and your Cloud year starts that day. A plan bought on the web is upgraded on the web.
- Moving a Personal plan from Cloud to Local. If you choose Local during a Cloud year, the change happens at your next renewal, and Cloud keeps working fully until then. Before that date you can undo it on the web, or in Apple’s subscription screen for a plan bought in the app. On the day Local begins, one device you choose takes over giving out record numbers exactly where the cloud stopped, and your other devices keep every file. Your Cloud copy is then kept for at least 90 days. There’s no partial refund, apart from our 7-day refund after a payment.
- Extra Cloud storage. A Personal Cloud plan includes a set amount of storage, shown at checkout and in the app, and a company’s shared storage grows with each seat. If you need more, you can add extra storage as yearly add-ons, in set sizes that you can repeat and combine. A Personal account buys them in the same place as its plan; a company’s Managers buy them on the website. They’re not available during a free trial or on the Local plan. On the web, extra storage renews with the plan; storage you add is charged now for the rest of the paid year, and storage you remove drops off at the renewal, with no credit. In the app, Apple’s rules apply: a bigger add-on starts at once, with Apple’s refund of the unused part of the smaller one, and a smaller one starts at your next renewal. Add-ons end when the Cloud plan ends.
- If you go over your storage. Nothing is deleted. If you or your company use more than the storage allows, for example after removing an add-on, existing files stay available, and new Cloud uploads wait until you’re back under the limit or more storage is added.
- If a renewal payment fails. We tell you by email and in CoordBase, with the date your plan would end and how to fix the payment, and your plan keeps working for 3 days. If the payment isn’t fixed within 3 days, your plan ends under the usual rules; for a company, its plan ends and its projects become read-only. If the payment is collected later, your plan restarts for the year you paid for, we email you, and you can ask for a refund within 7 days of that charge. For plans bought in the app, Apple’s 3-day billing grace period applies, and your plan follows what Apple reports.
- One person per account. A plan or a seat is for one named person. You may use it on any number of your own devices, but you may not share it with other people. A Personal account holds one plan at a time, so a second one, bought in the app or on the web, isn’t allowed. Apple’s Family Sharing isn’t available for CoordBase plans.
- Working offline. With a Personal account, your device trusts the plan it last checked until the date your plan is paid through, plus 30 days. After that, creating and editing wait until you connect once. Nothing is deleted. Company accounts follow the 72-hour access check described under Company accounts.
- If your Personal plan ends. Your work stays yours. Every file stays open, viewable, shareable and exportable, including new copies of the PDFs of issued records. Creating and editing records, sync and Share Links wait until you choose a plan again. Your Cloud copy is kept for at least 90 days, and we remind you by email and in CoordBase before anything is deleted.
- Restoring an App Store plan. A plan bought in the app belongs to the CoordBase account it was bought for. If you restore it while signed in to a different Personal account, it moves only if the original account has been deleted; otherwise CoordBase asks you to sign in with that account. Restoring one into a Company account is refused.
- Refunds. For a plan bought on the web, you can choose Request a Refund in CoordBase during the 7 days after each charge, as our Refund Policy explains. A refund reverses only what that charge paid for, and it takes effect when Paddle approves it. Refunding a plan’s own charge ends the plan; for a company, its projects then become read-only. Refunding an upgrade returns you to Local for the rest of your paid year. Refunding added seats removes those seats and closes the Company accounts using them; if the plan has already ended, it only returns the money. Apple handles refunds for App Store purchases under its own policies; in the app, Request a Refund opens Apple’s refund request. We can’t issue App Store refunds ourselves.
- Price changes. We may change prices for future years. We’ll tell you before a higher price applies to your renewal. For plans bought in the app, Apple notifies you as its rules require and, where required, asks you to agree.
06Canceling a plan
- Bought on the web: cancel inside CoordBase. In the app, go to Settings → Plan → Cancel Plan; on the web, go to Settings → Plan and billing → Cancel Plan. You confirm, and we cancel with Paddle for you. A company’s plan is cancelled by one of its Managers.
- Bought in the app: tap Manage Subscription in CoordBase’s Settings, which opens Apple’s subscription screen, or open your device’s Settings → [your name] → Subscriptions.
- When it takes effect: at the end of the year you’ve paid for. You keep full use of your plan until then and won’t be charged again. Canceling doesn’t refund the current year.
- Changed your mind? For a plan bought on the web, choose Keep My Plan before the end date, in CoordBase on the web or from our email. Your plan and its renewal continue as before, with nothing to buy again. Depending on your country, the iPhone and iPad app may show only the end date. For a plan bought in the app, resubscribe in Apple’s subscription screen.
- Once a plan has ended, it can’t be restarted. You can choose a new plan at any time.
- Deleting the app doesn’t cancel a plan.
07Company accounts
- The company owns its projects. Projects, records, files and history in a company’s workspace belong to the company, not to the person who created them, and stay with the company when someone leaves. A project stays in the workspace it was made in. The company is responsible for deciding who may access its workspace and projects and for the actions of its Managers and Members while acting through their Company accounts.
- Managers and Members. Both are full working users. Only Managers add and remove people, change roles, choose who can open each project, archive and delete company projects, and manage seats, storage, the plan and the company settings that apply to everyone, such as the company name, logo, document settings, record types and the company’s saved lists. Every Manager holds a paid seat.
- Project access. Managers can open every company project. Members open the projects they’ve been given access to, and whoever creates a project gets access to it automatically, as do all Managers. Removing someone’s access to a project ends it at once: nothing of that project, drafts included, can be opened or exported afterwards, and their device removes its data when it next connects.
- Always one Manager. A company always has at least one Manager. The only Manager must make another person a Manager before leaving or deleting their account. If they’re the only person left, leaving closes the company, which they confirm with a fresh code we email them at that moment.
- Inviting people. Managers invite people by email. An email address already used by another CoordBase account can’t be added. That person first frees it, for example by changing a Personal account’s email or leaving the other company, or uses a different address.
- Seats. Managers change the number of seats inside CoordBase. Added seats can be used at once, and the price for the rest of the paid year is charged now. Removed seats stay until the renewal, with no credit.
- Working offline. A device signed in to a Company account works offline for up to 72 hours after its last successful access check. After that, the company data on it locks, without being deleted, until it can check again. Each device keeps as much company data as you choose for offline use, and the company’s cloud copy is the authoritative one.
- Signing out finishes only after your pending company work has uploaded. Then the company data is removed from that device.
- Leaving a company. You can leave at any time. Leaving finishes only after your pending company work has uploaded from all your devices, and you can first export your unfinished drafts as PDFs marked DRAFT. You confirm with a fresh code we email you at that moment. Then your Company account closes, its email address becomes free to use again, your seat goes back to the company, and your remaining drafts are deleted. For a Company account, Delete Account means leaving.
- If a Manager removes you, your access ends immediately and your Company account closes. You’re signed out wherever your devices can be reached, and the company data on them, including unsent work and drafts, is removed, with no export and no grace period. An offline device acts on this when it next connects, and locks after 72 hours without an access check.
- Names on company records. Names such as Created by, Issued by, Revised by and Last changed by, and signatures, stay on the company’s records after someone leaves or their account closes.
- Company backups. A full backup of a company’s projects is for its Managers. Anyone with access can still make ordinary exports of the records and files they can open.
- Share Links on company projects belong to the project. They keep working after the person who made them leaves. The person who made a link and the company’s Managers can change it or turn it off.
- When a company’s plan ends or the company closes, its projects become read-only and are kept for at least 90 days, and its Managers can export the company backup. Renewing restores normal use. Nothing passes to any individual, including the last Manager.
- A company trial that isn’t bought follows the same rules: read-only, kept for at least 90 days, with the Managers’ backup.
How we handle a company’s data
For a Company account, these terms cover the data in the company’s workspace, including any personal information in it. Where California’s privacy law (the CCPA) or a similar law applies, AJRAX acts as the company’s service provider or processor for that data.
- Roles. The company decides what goes into its workspace and who can use it. AJRAX processes the company’s data on its behalf, as the company directs through CoordBase and these Terms.
- Why we use it, and nothing else. The company makes its data available to us only for these purposes, and we use it only for them: storing it and keeping it in sync across the company’s devices; showing it in CoordBase on the web; reading documents the company imports; running the Share Links the company turns on; preparing the downloads and backups the company asks for; sending account emails; giving the support the company asks for; keeping CoordBase secure and preventing fraud and abuse; and meeting our legal obligations.
- What we never do. We never sell or share it, as the CCPA uses those words. We don’t retain, use or disclose it for any other purpose, including any other commercial purpose, or outside our direct business relationship with the company, except as the CCPA allows. We don’t combine it with, or update it from, personal information we get from anyone else or from our own dealings with people, except as the CCPA allows. We never use it for advertising or to train AI models.
- The law, and the same protection. We comply with the obligations the CCPA places on us and give the company’s data the same level of privacy protection the CCPA requires of the company.
- Our people. Only AJRAX personnel and contractors who need access to provide, support or secure CoordBase can reach the company’s data, and they’re bound to keep it confidential.
- Security. We use reasonable security procedures and practices suited to the nature of the information, including encryption in transit and at rest, and access controls.
- Service providers. The service providers we use to run CoordBase, such as Amazon Web Services, are listed in our Privacy Policy, and we update that list before a new one handles company data. Each service provider that processes company data for us is bound by written terms that require the privacy protections applicable to its role under the CCPA.
- People’s requests. CoordBase lets the company view, export, correct and delete its data itself, so it can respond to people’s requests. Where it needs us to act, it tells us what the request needs and we do it. If someone sends us a request about company data directly, we act on it as the company instructs, or tell them to contact the company.
- Checking on us. The company may take reasonable and appropriate steps to make sure we use its data consistently with its CCPA obligations, such as reviewing information we provide about our practices. Where the CCPA requires the company to complete a cybersecurity audit or risk assessment, we make the relevant information we hold available and don’t misrepresent any fact.
- If we can’t comply. If we determine that we can no longer meet these obligations, we notify the company’s Managers without undue delay. After telling us, the company may take reasonable and appropriate steps to stop and fix any unauthorized use of its data, including asking us to confirm in writing that we’ve deleted information a person asked to have deleted.
- Security incidents. If we learn of a security incident that affects the company’s data, we tell its Managers promptly after discovering it, and in any case as quickly as the law requires, with what we reasonably know, and take reasonable steps to contain it.
- At the end. When a company’s plan ends or the company closes, its data is kept read-only for at least 90 days so its Managers can download the company backup, and then deleted, as these Terms and our Privacy Policy describe.
08Your content
“Your content” means everything you create, import or keep in CoordBase: projects, records, documents, photos, markup, signatures, voice recordings and other information.
- Who owns it. In a Personal account, you own your content. In a Company account, the company owns the content in its workspace, including what you create there. We claim no ownership of any of it.
- Permission to run CoordBase. You give AJRAX permission to host, store, copy, process, transmit and otherwise use your content only as reasonably necessary to provide, maintain, secure and support CoordBase for you or your company, including to sync and back it up, show it in the web app, read documents you import, operate Share Links and prepare downloads you request. This permission lasts only for as long as necessary to provide those services and, after content is deleted, only for the limited period and purposes described in our Privacy Policy.
- We don’t look at it. We don’t look at your content except when you ask us to, for example to help with a problem, when reasonably necessary to keep CoordBase secure, or when the law requires it.
- You’re responsible for it. You’re responsible for your content and for having the rights and permissions it needs, such as permission to use drawings, specifications and other documents prepared by others, and the consent of people whose names, photos, signatures or voices you record.
09Share Links
Anyone who has a Share Link can open what it shares, so you’re responsible for who you send it to and what you share. You’re responsible for making sure you have authority to share the content made available through a Share Link. You can turn a link off at any time. From then on, nobody can open it. If you share the item again, CoordBase creates a new link with a new address. Turning off downloads only hides the download button: anyone who can view a PDF through the link may still be able to save, print, capture or otherwise copy it. We may turn off links that break these Terms or the law.
10Records, signatures and Voice Confirmations
CoordBase gives you tools to create records and to capture signatures, Voice Confirmations, dates, times and locations, in the app and on the web. Please keep in mind:
- Whether a signature, confirmation or record is legally binding or accepted as evidence depends on applicable law, your contracts and the people involved. We don’t guarantee that any record will have a particular legal effect.
- Dates, times and locations can depend on your device and its services and may be inaccurate.
- You’re responsible for the accuracy and completeness of the records you issue and for getting any consent the law requires before recording someone’s voice or image.
- You’re responsible for determining whether CoordBase’s record, signature and confirmation features are appropriate for your particular contract, project and jurisdiction.
- CoordBase isn’t a notary or a certified electronic-signature service.
- Don’t use CoordBase to create false or misleading records or to sign for someone else without their authority.
11Keep your own backups
CoordBase Cloud keeps a copy of the projects you sync, and a company’s projects are kept in the company’s cloud, but no service can promise that data will never be lost. On the Local plan, your data lives only on your devices. You’re responsible for maintaining backups appropriate to the importance of your project information. Keep your own backups, for example with Export Complete Backup in a Personal account’s Settings, or with your device’s iCloud or computer backups. If a device is lost or reset without a backup, anything that wasn’t synced may be gone for good. Work CoordBase couldn’t sync and is holding for you to review is never in a backup, so it’s lost with the device.
12Acceptable use
You agree not to:
- use CoordBase in a way that breaks the law or violates anyone’s rights;
- create, store or share content that is unlawful, fraudulent, defamatory or infringing, including through Share Links;
- forge or alter signatures, confirmations or records, or present a record as something it isn’t;
- introduce malware, or try to disrupt, overload, scrape or gain unauthorized access to CoordBase or the systems behind it;
- get around or interfere with sign-in, plan checks, security features or usage limits; or
- help anyone else do any of these things.
13No professional advice
CoordBase is a tool for organizing, recording and sharing project information. It doesn’t provide engineering, architectural, legal, safety or other professional advice, and it doesn’t replace your professional judgment, your contract documents, applicable codes or regulations, or the requirements of your project and jurisdiction.
- You’re responsible for reviewing and verifying project information before relying on it or using it to make project, construction, safety, contractual or other professional decisions.
- Always check information against the official contract documents and other authoritative project information.
- Automatic features, including Apple Intelligence features such as voice entry, summaries and suggestions, and features that read, extract, recognize, organize or match information from documents, can make mistakes. You’re responsible for reviewing their results before relying on them.
- Weather information comes from a third-party service and may not reflect actual conditions at your site. Don’t rely on it for safety decisions.
14Availability and changes
We work to keep CoordBase available, but CoordBase Cloud and the web app may sometimes be unavailable, and we don’t promise any particular level of service. The iPhone and iPad app keeps working offline subject to the offline rules described in these Terms. We may update CoordBase to add, change or remove features, fix problems or meet legal requirements, and some updates may be required to keep using it. If we ever discontinue CoordBase, we’ll give reasonable notice where practicable so you have time to export your content.
15Third-party services
CoordBase works with services from other companies and organizations, such as Apple’s App Store and iOS features, the US National Weather Service, Paddle’s checkout, and the email, messaging and file services you use to share your work. Those services have their own terms and privacy policies. We don’t control third-party services and, to the fullest extent permitted by law, aren’t responsible for their availability, operation or acts or omissions. Weather data comes from the US National Weather Service.
16Ownership of CoordBase
CoordBase, including the apps, the web app, their software, design and content and the CoordBase name and logo, belongs to AJRAX and its licensors and is protected by intellectual property laws. CoordBase and the CoordBase logo are trademarks of AJRAX LLC. These Terms don’t give you any right to use our names, logos or trademarks. We reserve all rights not expressly granted in these Terms.
17Feedback
If you send us ideas or suggestions about CoordBase, you give AJRAX permission to use them without restriction or obligation to you.
18Ending this agreement
You can stop using CoordBase at any time. To close your account, use Delete Account in the app or the web app. It takes effect at once, and it also cancels the renewal of a plan bought on the web; any remaining paid time is forfeited unless the refund rules say otherwise. An App Store plan keeps renewing until you cancel it with Apple, and deleting the app doesn’t cancel any plan. For a Company account, Delete Account means leaving the company, as described under Company accounts.
We may suspend or end your account or license if you materially or repeatedly breach these Terms, or if the law requires us to. Where we reasonably can, we’ll tell you first and give you a chance to export your content. We may act immediately where reasonably necessary to protect CoordBase, other users or third parties, prevent unlawful activity, respond to a security risk, or comply with law.
Sections that by their nature should continue, including ownership, disclaimers, limitation of liability, indemnity and governing law, continue after this agreement ends.
19Disclaimers
TO THE FULLEST EXTENT PERMITTED BY LAW, COORDBASE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT AND ACCURACY. WE DON’T WARRANT THAT COORDBASE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT IT WILL MEET YOUR REQUIREMENTS, OR THAT YOUR CONTENT WON’T BE LOST.
Some jurisdictions don’t allow certain warranty exclusions, so some of these exclusions may not apply to you.
20Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, AJRAX AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, USE OR DATA, ARISING OUT OF OR RELATING TO COORDBASE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF AJRAX AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS AND AFFILIATES ARISING OUT OF OR RELATING TO COORDBASE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT PAID FOR THE COORDBASE SERVICE GIVING RISE TO THE CLAIM DURING THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) US $100.
THE EXCLUSIONS AND LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE FORM OR THEORY OF LIABILITY, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, STATUTE OR OTHERWISE, AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
Nothing in these Terms excludes or limits liability to the extent that it cannot legally be excluded or limited.
21Indemnity
To the extent permitted by law, you’ll defend, indemnify and hold harmless AJRAX and its members, managers, employees, contractors and affiliates from and against third-party claims, damages, losses, liabilities and reasonable costs and expenses, including reasonable attorneys’ fees, arising out of or relating to:
- your content;
- your unlawful or unauthorized use of CoordBase;
- your material breach of these Terms; or
- your violation of another person’s rights.
For a Company account, the company gives this indemnity for the content in its workspace and for the use of CoordBase on its behalf. A person using a Company account is responsible under this section only for their own unlawful or unauthorized conduct.
AJRAX will give you reasonable notice of any claim for which it seeks indemnification and reasonable cooperation in the defense. You may control the defense, but you may not settle a claim in a way that admits fault by, imposes an obligation on, or requires payment by AJRAX without AJRAX’s prior written consent. AJRAX may participate in the defense with counsel of its own choosing at its own expense.
22App Store terms
If you got the CoordBase app from Apple’s App Store, your license to the app itself is governed by Apple’s Licensed Application End User License Agreement (the “Standard EULA”). These Terms govern your CoordBase account, CoordBase Cloud, CoordBase on the web, Share Links and your plans. For the app license itself, the Standard EULA controls if the two differ. In addition:
- These Terms are between you and AJRAX only, not Apple. AJRAX, not Apple, is responsible for CoordBase and its content, and for maintaining and supporting it. Apple has no obligation to provide any maintenance or support for the app.
- AJRAX, not Apple, is responsible for addressing any claims by you or a third party relating to the app or your possession or use of it, including product liability claims, claims that the app fails to meet legal or regulatory requirements, claims under consumer protection, privacy or similar laws, and claims that it infringes someone’s intellectual property rights.
- Plans bought in the app are App Store purchases. Apple’s terms govern their payment and billing, and Apple handles their refunds.
- You must comply with any third-party terms that apply when you use the app, such as your wireless data service agreement.
- Send any questions, complaints or claims about the app to AJRAX using the contact details below.
23Governing law and disputes
The laws of the State of New Jersey govern these Terms, without regard to its conflict-of-law rules. Subject to any rights that can’t be waived under applicable law, any dispute arising out of or relating to CoordBase or these Terms will be brought exclusively in the state or federal courts located in New Jersey, and you and AJRAX consent to the personal jurisdiction of those courts. Before starting a claim, please contact us so we can try to resolve it informally. If you’re a consumer, you keep any protections and rights that the laws of your country, state or other jurisdiction give you and that can’t be waived by contract.
24Changes to these Terms
We may update these Terms from time to time. We’ll change the “Last updated” date and, if a change is material, give you reasonable notice by email or through CoordBase before it takes effect. Where required by law, or where we determine that affirmative acceptance is appropriate, we’ll ask you to accept the updated Terms. Otherwise, continuing to use CoordBase after the effective date of updated Terms means you accept them. If you don’t agree, stop using CoordBase and cancel your plan.
25General
- Entire agreement. These Terms, including the Refund Policy, are the entire agreement between you and AJRAX about CoordBase. If you have a separate signed agreement with AJRAX about CoordBase, it controls where it conflicts with these Terms.
- Severability. If any part of these Terms can’t be enforced, it will be enforced as far as legally possible, and the rest stays in effect.
- No waiver. If we don’t enforce a part of these Terms, we haven’t given up the right to enforce it later.
- Assignment. You may not transfer these Terms without our written consent. We may transfer them as part of a merger, acquisition, reorganization or sale of assets.
- Export laws. You must comply with applicable U.S. export-control and sanctions laws when using CoordBase.
- Events beyond our control. We aren’t responsible for delays or failures caused by events beyond our reasonable control.
- Electronic communications. You agree that notices and other communications relating to CoordBase may be provided electronically, including by email or through CoordBase, subject to applicable law.
- Headings. Section titles are for convenience only and don’t affect the interpretation of these Terms.
